At a special meeting on July 18, 2023, the shareholders of Berkshire Grey, Inc. (BGRY/W) approved a merger with SoftBank Group Corp. The merger closed prior to the market open on July 20, 2023. In anticipation of the closing, the stocks were halted immediately following the after-hours session at 8 p.m. on July 19, 2023. The stocks will remain halted on the day of closing (July 20th) and will be suspended effective July 21, 2023. The details are as follows:

Merger Consideration: Each outstanding warrant to purchase shares of the Common Stock pursuant to the Warrant Agreement, dated December 7, 2020, automatically became a warrant exercisable for the Merger Consideration that such holder would have received if such warrant had been exercised prior to the Effective Time, provided that if a holder of such warrant properly exercises such warrant within 30 days following the date hereof, the holder of such warrant would be entitled to the Black-Scholes warrant value.
