The business combination of NLS Pharmaceutics Ltd. (NLSP/W) and NewcelX Ltd. closed today, Thursday, October 30, 2025. Following the completion of the business combination, the company's Ordinary Shares (NLSP) will undergo a name, symbol, CUSIP number & par value change from 0.03 Swiss Franc to 0.05 Swiss Franc along with a one-for-ten (1-10) reverse stock split. The company's Warrants (NLSPW) will be suspended from trading. These actions are expected to become effective on Friday, October 31, 2025.

Furthermore, pre-merger shareholders will receive one (1) non-transferable Contingent Value Right (CVR) for each share held, payable upon surrender.
