The merger of Gryphon Digital Mining, Inc (GRYP) & American Bitcoin Corp. resulting in a Change of Control became effective on September 3, 2025. As a result, Gryphon Digital Mining, Inc (GRYP) underwent a one-for-five (1-5) reverse stock split along with a change of corporate name, symbol and CUSIP number. As a result of the merger the combined company will list its Class A Common Stock on the Nasdaq Capital Market. These changes became effective at the open of business on Wednesday, September 3, 2025.
