What you need to know:

  • Nasdaq ISE, Nasdaq GEMX and Nasdaq MRX (collectively, "ISE Exchanges") have recently received approval from the Securities and Exchange Commission to integrate the corporate governance framework of the ISE Exchanges with that of NASDAQ BX, Inc., NASDAQ PHLX LLC and The Nasdaq Stock Market LLC (collectively, "Nasdaq Exchanges").

What is changing?

  • As of November 27, 2017, the ISE Exchanges will be governed by new LLC Agreements and Bylaws ("New Governing Documents") that will be substantially identical to the current LLC Agreements and Bylaws of the Nasdaq Exchanges.

    • As a result, the composition of the Company's Board of Directors and committees, and the related nomination/election processes will be uniform across the ISE Exchanges and Nasdaq Exchanges.
